Welcome to **Renia Dental AI**, a full-stack SaaS platform providing artificial intelligence voice receptionist software services for dental practices, operated by **Renia Dental AI** ("Company", "we", "us", or "our").
These Terms of Service ("Terms", "Agreement") govern your access to and use of our website located at reniadental.com, our administrative dashboard, our local synchronization agent software, and our voice processing systems (collectively, the "Services"). By registering for or using our Services, you agree to comply with and be bound by this Agreement.
1. Acceptance of Terms
By creating an account, subscribing to a plan, or otherwise utilizing the Services, you represent that you are an authorized representative of a dental practice or clinic and have the legal authority to bind that entity to these Terms. If you do not agree with all the conditions of this Agreement, you must not access or use the Services.
2. Description of Services & Billing
Renia Dental AI provides an AI-powered voice receptionist tool designed to answer incoming telephone calls, converse with patients, schedule dental appointments, verify insurance eligibility, and synchronize data directly with clinic Practice Management Systems (PMS) like Dentrix and Eaglesoft.
Access to our Services is delivered immediately upon successful account creation and subscription activation. Subscriptions are billed on a recurring monthly or annual basis, depending on the plan selected.
3. Reseller Agreement (Lemon Squeezy)
Our billing processing, recurring subscription collection, and order transactions are processed by our authorized reseller, **Lemon Squeezy**. When you subscribe, your contract of purchase is entered directly with Lemon Squeezy as the Merchant of Record. Lemon Squeezy is responsible for billing, transaction disputes, refunds, and general customer support regarding billing transactions.
4. Practice Management System & Calendar Integrations
To perform appointment scheduling, the Services must integrate with your clinic’s Practice Management System (PMS) and external calendar systems (e.g., Google Calendar, Cal.com, Calendly). You are responsible for ensuring that:
- You possess the appropriate licensing and authorization to integrate third-party software with your PMS.
- The local sync agent software is installed on a secure server environment compliant with industry guidelines.
- Your network configuration allows secure, outbound-only connectivity required by our sync architecture.
5. Patient Disclosures & Legal Compliance
You represent and warrant that your clinic is fully compliant with all applicable state and federal communication laws. Specifically:
- **Two-Party Consent Laws:** You acknowledge that certain jurisdictions, including the State of Florida (Florida Statute § 934.03), require two-party consent to record or transcribe phone conversations. You agree to maintain the automated voice consent warning disclosure scripts at the beginning of all inbound and outbound call streams.
- **Telephone Consumer Protection Act (TCPA):** You warrant that you have obtained appropriate consent from patients before sending SMS notifications, Twilio alerts, or emails through our systems.
6. HIPAA & Security Standards
We recognize that patient names, phone numbers, appointment reasons, and insurance details constitute Protected Health Information (PHI). We maintain HIPAA compliance by design, utilizing field-level AES-256 encryption at rest and TLS 1.3 in transit. We will sign and execute a Business Associate Agreement (BAA) with your clinic upon subscription activation. You agree to handle credentials and administrative dashboard access in accordance with role-based security policies.
7. Prohibited Uses
You agree not to use the Services to:
- Violate any local, state, national, or international laws, including HIPAA regulations and recording consent statutes.
- Collect or transmit sensitive health details without active BAA agreements in place.
- Reverse engineer, disassemble, or extract the Speech-to-Speech audio streaming proxy engines or models.
- Transmit spam, unauthorized robocalls, or fraudulent messages.
8. Limitation of Liability
To the maximum extent permitted by law, Renia Dental AI and its reseller Lemon Squeezy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of clinical revenue, data-entry errors in your PMS calendar, or regulatory penalties arising from recording consent violations.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal action arising under this Agreement shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida.
